Platform Terms of Service

By accessing, using, or submitting content to MuSocí Radio (“MuSocí,” “we,” “our,” or “us”), including through any submission form, platform interface, or amplification purchase, you agree to be bound by these Platform Terms of Service (“Terms”) and the MuSocí Creator Hosting & Platform Access Agreement (the “Creator Agreement”).

Acceptance occurs through:

• Submission of content via MuSocí forms or systems
• Checking an acceptance box or providing an electronic signature
• Completing a purchase of any MuSocí Amplification product or service
• Continued use of the platform

If you do not agree, do not use MuSocí.

MuSocí operates as a curated hosting and promotional platform for creator-submitted content.

MuSocí does not:

• Act as a music distributor
• Collect or administer publishing royalties
• Act as a record label or publisher

MuSocí streams content through licensed third-party infrastructure providers that maintain applicable public performance and digital transmission licenses. MuSocí may change infrastructure providers at any time.

MuSocí does not acquire:

• Publishing rights
• Mechanical rights
• Synchronization rights
• Ownership of master recordings

Submission to MuSocí does not entitle Creator to compensation.

MuSocí may introduce:

• Paid placement opportunities
• Subscription models
• Revenue-sharing programs
• Token-based or alternative compensation systems

Participation in any monetization program requires a separate written addendum. Nothing in these Terms obligates MuSocí to share revenue. Paid MuSocí Amplification products are governed by Section 19.

Creator agrees to indemnify, defend, and hold harmless MuSocí and its affiliates from any claims, damages, liabilities, and expenses arising from:

• Breach of representations and warranties (as set forth in the Creator Agreement)
• Copyright infringement
• Misrepresentation
• Collaborator disputes
• Unauthorized use of third-party rights

MuSocí will provide notice of any claim within thirty (30) days of receipt. Creator may control the defense unless MuSocí’s independent interests are materially affected. MuSocí will reasonably cooperate in the defense at Creator’s expense.

To the fullest extent permitted by law, MuSocí shall not be liable for:

• Indirect, incidental, consequential, or punitive damages
• Loss of profits, data, or business opportunities

Total liability shall not exceed the greater of amounts paid by Creator in the preceding 12 months, or $500 USD.

The above limitation does not apply to Creator’s indemnification obligations under Section 4 or Section 19.10. If any portion of this section is deemed unenforceable, the remainder remains in effect.

MuSocí collects and processes personal information as described in its Privacy Policy.

By using MuSocí, you consent to those practices.

MuSocí may suspend or terminate access at any time, with or without notice, including for:

• Violation of Terms
• Legal risk
• Platform integrity concerns
• Content or conduct misalignment

MuSocí may remove content at its discretion. Upon termination, Creator may request removal of hosted content; MuSocí will process such requests in accordance with its Privacy Policy and infrastructure limitations. Prior obligations, including indemnification and limitation of liability, survive termination.

MuSocí may update these Terms at any time. Updates will include a revised effective date and be posted on the platform. Continued use constitutes acceptance. MuSocí may, but is not obligated to, notify users of material changes.

MuSocí is not liable for failure or delay caused by events beyond its control, including:

• Infrastructure outages
• Service provider failures
• Natural disasters
• Regulatory changes

This includes delays in fulfilling Amplification products (see Section 19).

MuSocí is provided “as is” and “as available.” MuSocí makes no guarantees regarding:

• Availability
• Uptime
• Performance
• Placement or exposure

MuSocí Radio respects the intellectual property rights of others and expects its users to do the same. In accordance with the Digital Millennium Copyright Act (“DMCA”), MuSocí Radio will respond expeditiously to claims of copyright infringement that are reported to our designated DMCA agent, identified below.

If you believe your copyrighted work has been infringed upon in a way that falls under the DMCA, please provide our designated agent with the following information, in writing:

1. A physical or electronic signature of the copyright owner or a person authorized to act on their behalf.
2. Identification of the copyrighted work claimed to have been infringed.
3. Identification of the material that is claimed to be infringing, and information reasonably sufficient to permit us to locate the material on our service.
4. Your contact information, including your address, telephone number, and email address.
5. A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.
6. A statement that the information in the notification is accurate, and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner.

Counter-Notice: Creators may submit a counter-notice. MuSocí may restore content in accordance with applicable law, including statutory waiting periods.

These Terms are governed by the laws of the State of Arizona.

These Terms, together with the Creator Agreement, constitute the entire agreement. In the event of conflict, these Terms control.

The following survive termination:

• Indemnification
• Limitation of liability
• Governing law
• Dispute resolution
• Representations and warranties
• Amplification payment, refund, and no-refund provisions (Section 19)

MuSocí may assign these Terms. Creator may not assign without written consent.

Failure to enforce any provision is not a waiver.

Disputes will be resolved through binding arbitration under AAA Commercial Rules, with Consumer Rules applied where required.

Class actions are waived. Emergency equitable relief may be sought in court.

MuSocí Amplification is intentionally designed to preserve the independence of MuSocí’s editorial process while offering creators optional promotional services after an editorial milestone has been earned. This section governs all paid MuSocí Amplification products and campaigns (“Amplification”) and applies in addition to the Terms above.

19.1 — Nature of Amplification (the firewall)

MuSocí Amplification consists of optional, paid promotional products and assets (which may include a produced audio introduction, an amplified artist page, a press release, media assets, a homepage sponsored tile, and related materials) that an eligible Creator may purchase after earning free editorial recognition. Amplification is a promotional and creative-asset service only.

Purchasing Amplification:

• does not purchase, guarantee, or influence airplay, plays, spins, rotation, or on-air scheduling; and
• does not purchase, guarantee, or influence any editorial decision, including Discovery selection, Rotation (“In the Room”), live showcase invitations, or the MuSocí Spotlight award.

Amplification amplifies and celebrates a milestone the Creator has already earned through MuSocí’s free, independent editorial process. Editorial decisions are made independently of any past, present, or future Amplification purchase. Editorial selection and rotation are determined solely by MuSocí’s editorial judgment and are never for sale.

19.2 — Eligibility & Capacity

Amplification is available only to Creators who have earned a qualifying editorial milestone (e.g., Discovery selection). MuSocí may verify eligibility at or before checkout; purchases by ineligible parties may be voided and refunded.

Amplification Services are offered subject to monthly production capacity. Availability is not guaranteed until an order has been accepted and confirmed by MuSocí. Availability may be tied to the specific cohort period in which the Creator’s milestone was earned; expired or transferred checkout links may be voided.

19.3 — No Guarantees of Outcome

Creator acknowledges that MuSocí makes no guarantee that Amplification will result in:

• streams, plays, chart movement, or playlist placement of any kind;
• new followers, fans, or subscribers;
• algorithmic visibility on any third-party platform;
• income, royalties, or revenue;
• media coverage or label, manager, publisher, or industry interest;
• reaching Rotation; or
• airing at any specific time, date, or number of plays.

Amplification does not guarantee that any particular listener or industry professional will see or hear the Creator’s materials. Amplification provides promotional visibility and professional assets — not performance outcomes.

19.4 — Creator Responsibilities & Asset Submission

Fulfillment timelines begin only once the Creator has submitted, via the designated MuSocí intake form, all required materials (which may include photographs, biography, links, logos, story notes, and approvals). Creator is responsible for the timely provision and the accuracy of all submitted materials.

If a Creator fails to submit all required materials within fourteen (14) business days of a request, MuSocí may forfeit the production slot back to the available pool; in such case the Creator receives platform credit (not a cash refund) toward a future campaign. MuSocí is not responsible if the Creator’s own external destinations (streaming links, social accounts, websites) later change or are removed by the Creator.

19.5 — Deliverables & Turnaround

MuSocí will describe the specific deliverables of each product at purchase. Stated turnaround times — typically seven (7) business days for a produced audio introduction, measured from receipt of all required materials — are estimates, not guarantees. Fulfillment timing may vary due to production schedules, capacity limits, or Force Majeure events.

If a production delay would cause a time-sensitive deliverable to miss its intended promotional window, MuSocí will notify the Creator and offer either (a) expedited production, (b) a prorated credit, or (c) cancellation and refund for that product. Amplification products are produced in the MuSocí style and may be produced by MuSocí or a MuSocí-directed contributor.

19.6 — Revisions

Where a product includes creative copy (such as a produced audio introduction), Creator is entitled to one (1) revision of the factual or creative script copy prior to production. The voiced performance and final production are not subject to revision and reflect MuSocí’s creative standards. If the final production contains a factual error (such as a mispronounced name or incorrect release date), MuSocí will correct it at no charge and without using the Creator’s revision. Additional creative changes require a new purchase.

If a Creator does not provide requested approvals or feedback within seven (7) business days, MuSocí may deem the script approved or place fulfillment on hold until the Creator responds.

19.7 — Refunds & Cancellation

A Creator may cancel within twenty-four (24) hours of purchase for a full refund, regardless of production status. After the 24-hour window, before production begins on a product, a Creator may cancel that product for a refund.

“Production begins” when MuSocí commences work on the purchased deliverable (including allocation of a production slot or commencement of scriptwriting). Once production has begun, that product is non-refundable, as MuSocí has committed creative labor and resources.

MuSocí does not issue refunds for dissatisfaction with creative style, voice performance, or promotional outcomes, provided the described deliverables were produced. Refunds are not owed for outcomes MuSocí never guaranteed (see Section 19.3).

19.8 — Editorial Integrity & Removal

MuSocí reserves the right to discontinue, decline to display, or remove any Amplification materials (including an amplified artist page, homepage tile, or produced introduction) at any time if, in MuSocí’s good-faith reasonable judgment, continued association would:

• conflict with MuSocí’s editorial standards;
• create legal, reputational, or compliance risk; or
• arise from content removed for copyright, licensing, or policy reasons.

Removal will not be based on the Creator’s race, gender, religion, sexual orientation, or lawful creative expression, nor on the Creator’s decision not to purchase additional services. Removal for the reasons in this section does not imply wrongdoing by the Creator and does not automatically create a refund obligation. Where removal occurs due to administrative or platform reasons unrelated to a material breach by the Creator, and before a product’s promotional window has substantially run, MuSocí will issue a fair, prorated refund or platform credit based on the remaining promotional window.

19.9 — Promotional Duration & Archive

Time-based assets (such as a homepage sponsored tile or active amplified artist page placement) run for the promotional window stated at purchase (e.g., 30 days). After the active window concludes, certain assets (such as an amplified artist page) may transition to a permanent, dated archive as described at purchase. Archived pages are maintained as historical records and are not updated except to correct factual errors or as required by law.

19.10 — Content Warranties & IP Indemnification

Creator represents and warrants that they own or control 100% of the rights, licenses, and clearances for all content and assets submitted to MuSocí, including musical works, master recordings, samples, photographs, artwork, logos, biographical material, and any third-party contributions.

Creator agrees to indemnify, defend, and hold harmless MuSocí from any third-party claim, damage, liability, or expense (including statutory damages and legal fees) arising from the Creator’s submitted content, including copyright, trademark, publicity, or sample-clearance claims. This provision is in addition to, and does not limit, the indemnification obligations in Section 4.

19.11 — Use of Creator Name, Likeness & Works

By purchasing Amplification, Creator grants MuSocí a non-exclusive, worldwide, royalty-free license to use the Creator’s name, likeness, biography, and musical works (as provided by the Creator) solely in connection with the Amplification products purchased and MuSocí’s promotion thereof — including on the MuSocí website, social media, and promotional materials. This license continues for the promotional window and, for archived materials, as a historical record.

Creator may revoke this license for future use by written request; however, MuSocí is not obligated to remove archived materials that are historical records of the Creator’s earned milestones and purchased Amplification, except as required by law or upon a verified deletion request processed within a reasonable period.

19.12 — Chargebacks & Payment Disputes

Creator agrees that the deliverables and no-guarantee terms were clearly disclosed and accepted before purchase (via a mandatory checkout acknowledgment). Creator agrees to contact MuSocí at support@musociradio.com to resolve any concern before initiating a payment dispute or chargeback.

MuSocí will respond to any such inquiry within two (2) business days and will make a good-faith effort to resolve the concern. Failure to contact MuSocí before initiating a dispute may delay resolution, as MuSocí may otherwise be unaware of the concern. MuSocí maintains records of deliverables, disclosures, and fulfillment dates and will contest inappropriate chargebacks for services delivered as described.

19.13 — Sponsored Disclosure

Paid Amplification placements that appear publicly (such as a homepage sponsored tile or amplified artist page) are identified as sponsored/amplified, consistent with applicable advertising-disclosure requirements. Sponsored Amplification identifies paid promotional placement and does not represent independent editorial endorsement beyond the Creator’s earned editorial milestone, nor a guarantee of future editorial recognition.

19.14 — Not an Agency Relationship

Amplification is a promotional service, not a financial product, investment, or guarantee of business success. Creator acknowledges that MuSocí is not a talent agency, manager, label, or publisher, and that Amplification does not create an agency, employment, or fiduciary relationship.
